The IHT problem is not what you think it is

Most founders think about inheritance tax as a problem for later. Something to address when they are older, when the business is sold, when the estate planning conversation becomes unavoidable. That is the wrong frame. The IHT problem is not about the future. It is about right now.

Every month your business grows, your estate grows. Every pound of growth inside your name is a pound that will be taxed at 40% when you die. The liability is not fixed. It is compounding. And the only way to stop it compounding is to install the architecture that separates future growth from your personal estate.

How the IHT clock works

The constitutional layer of a capital structure uses a mechanism called a freezer share. When the structure is installed, the current value of your estate is fixed at that point. All future growth sits inside the structure, not inside your name.

The freezer share mechanism works like this: you retain control through a fixed-value share class. The growth shares are held by the structure. As the business grows, the growth accrues to the structure rather than to you personally. Your estate is frozen at today's value. The IHT liability on your estate stops growing from the moment the architecture is in place.

There is a seven-year clock on gifts into trust. But the freezer share mechanism is not a gift. It is a structural redesign of how value accrues. The IHT protection begins immediately, not after seven years.

The arithmetic of delay

Consider a founder with a business currently valued at £3 million, growing at 15% per year.

If the constitutional layer is installed today, the IHT liability is fixed at £1.2 million (40% of £3 million). All future growth sits outside the estate. In ten years, the business is worth approximately £12 million. The IHT liability on the estate remains £1.2 million. The additional £9 million of growth is protected.

If the founder waits three years before installing the structure, the business is worth approximately £4.6 million at the point of installation. The IHT liability is now fixed at £1.84 million. The three years of delay cost £640,000 in additional IHT exposure, permanently. That is not a projection. That is the arithmetic of compound growth applied to a 40% tax rate.

At five years of delay, the additional permanent IHT exposure exceeds £1.2 million. At ten years, it exceeds £3.5 million.

The fee is not the cost. The delay is the cost.

For a founder whose business is growing at 15% per year, every month of delay costs approximately £15,000 in additional permanent IHT exposure on a £3 million business. Every year of delay costs approximately £180,000.

The April 2026 change

Business Property Relief previously provided 100% relief on qualifying business assets, meaning the full value of a trading business could pass outside the IHT net on death. From April 2026, BPR relief is capped at £1 million per individual. Assets above that threshold are subject to IHT at 20% rather than 40%, but the protection is no longer complete.

For founders with businesses valued above £1 million, the April 2026 change means that BPR alone is no longer sufficient. The constitutional layer is not optional for this group. It is the only mechanism that continues to protect future growth from IHT regardless of the BPR threshold.
